This Disclaimer, Notice, and License (the “Terms”) governs the access or visit to, downloading and use of all websites, mobile and software applications, tangible, online, digital and downloadable content and materials, and other products and services offered by PBL4CTE (Project Based Learning for Career and Technical Education) (“Products”) by educators, students, customers, users, and supervising adults (“Users”). By opening, accessing, distributing, or using any Product, User acknowledges that it has read, understood, and agreed to this disclaimer.
INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY
The Products and all information, descriptions, specifications, instructions, supplies, components, activities, experiments, demonstrations, presentations, documents, photographs, videos, illustrations, patterns, designs, testimonials, downloadable materials, digital offerings, files, workshop material, curriculum, land other materials included in or relating to Products, including without limitation product kits, pathway packages, and district packages (collectively, included in the definition of the “Products”), are provided for informational and educational purposes only. The activities, examples, demonstrations, and content contained in the Products are intended to support learning and skill development. They are not intended to provide professional, medical, legal, engineering, scientific, or safety advice and should not be relied upon as such.
WARRANTY DISCLAIMER
While PBL4CTE endeavors to ensure the accuracy of Products, all Products are provided “as is” and without warranties of any kind, whether express or implied. User is solely responsible for use of the Products and for determining the suitability of any Product for its intended use. To the fullest extent permitted by applicable law, PBL4CTE disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and uninterrupted availability. Product specifications, features, pricing, availability, packaging, functionality, and appearance may change at any time without notice. Actual Products may differ from descriptions, illustrations, or examples displayed on PBL4CTE’s website or marketing materials.
NO GUARANTEE OF RESULTS
Educational outcomes may vary based on individual student abilities, effort, prior knowledge, instructional methods, and other factors. Any examples, testimonials, demonstrations, endorsements, or statements regarding Product performance are illustrative only and do not guarantee future results.
SAFETY AND SUPERVISION
User is responsible for (a) reading and following all instructions and safety warnings before use; (b) using appropriate protective equipment when necessary; (c) maintaining a safe learning environment; (d) complying with applicable school, organizational, and safety policies; and (e) monitoring students during activities involving tools, chemicals, electrical components, heat sources, or other potentially hazardous materials.
Certain activities, tools, materials, or components included in or used with the Products may require adult supervision. Parents, guardians, teachers, instructors, and other responsible adults are solely responsible for determining the appropriate level of supervision based on the age, maturity, abilities, and experience of participating students.
The Products should be used only by students within the recommended age range and in accordance with all instructions, warnings, and safety guidelines provided. Adult supervisors should review all materials before use and determine whether the activities are suitable for the intended participants.
Supervisors are responsible for evaluating whether any student may have allergies, sensitivities, medical conditions, disabilities, or other circumstances that could affect participation in Product activities. PBL4CTE makes no representation regarding the suitability of the Products for any particular individual.
NOT INTENDED FOR CHILDREN; SMALL PARTS AND CHOKING HAZARD
The Products are not intended for use by children under twelve (12) years of age. Certain Products may contain small parts or components that may present a choking hazard to young children or may present risks if used improperly, including cuts, punctures, eye injuries, skin irritation, allergic reactions, ingestion hazards, or other injuries. The Products are an educational resource and are not intended to be used as a toy.
ASSUMPTION OF RISK
PARTICIPATION IN EDUCATIONAL ACTIVITIES MAY INVOLVE INHERENT RISKS. BY USING THE PRODUCTS, USER ACKNOWLEDGES AND ASSUMES ALL RISKS ASSOCIATED WITH PARTICIPATION, INCLUDING RISKS ARISING FROM MISUSE, IMPROPER SUPERVISION, FAILURE TO FOLLOW INSTRUCTIONS, OR USE OF MATERIALS NOT SUPPLIED WITH THE PRODUCTS.
USER WARRANTIES
User warrants and represents that it will comply with all applicable laws and regulations and these Terms and that it will not infringe the rights of any third party in its use of the Products.
THIRD-PARTY PRODUCTS AND RESOURCES
Any references to third-party products, websites, resources, organizations, or services are provided solely for educational convenience and do not constitute endorsement, sponsorship, or approval by PBL4CTE.
AMAZON AFFILIATE LINKS DISCLOSURE
Some of the products, tools, books, software, or other resources referenced in the Products, on the PBL4CTE website, or through related communications may contain affiliate links, including links that participate in the Amazon Services LLC Associates Program, an affiliate advertising program designed to provide a means to earn advertising fees through websites by advertising and linking to Amazon.com and affiliated websites. If User purchases a product through one of these affiliate links, PBL4CTE may receive a small commission at no additional cost to User. These commissions help support the creation, maintenance, and continued availability of PBL4CTE’s Products.
PBL4CTE recommends only products and services that it believes may be useful or beneficial to its customers. Any recommendation or reference to a third-party product, service, or vendor, however, is provided for informational purposes only and should not be construed as a guarantee, warranty, endorsement, or representation regarding the quality, safety, performance, suitability, or availability of any third-party product or service. USER CONTENT
As part of or in connection with the use of the Products, Users may supply or use their own materials, objects, things, supplies, written responses, artwork, recordings, projects, answers, or other content (collectively, “User Content”). User, and not PBL4CTE, is responsible for the supply and use of and reliance on User Content and will hold harmless and indemnify PBL4CTE and its owners, affiliates, officers, directors, members, employees, licensors, and agents for such supply, use, and reliance. User is solely responsible for ensuring that any User Content submitted or used is appropriate, lawful, and does not infringe on the rights of any third party, including intellectual property rights, privacy rights, or publicity rights. Submission or use of User Content does not imply endorsement or approval by PBL4CTE. Any views, opinions, or expressions contained in User Content belong solely to User and do not reflect the views of PBL4CTE. In no event may User rely on or construe the Products to violate applicable laws or infringe the rights of third parties.

INDEMNIFICATION
USER AGREES TO DEFEND, INDEMNIFY AND HOLD HARMLESS PBL4CTE, ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, LICENSORS, AND AGENTS FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, EXPENSES OR FEES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO USER’S VIOLATION OF THESE TERMS OR USER’S REPRESENTATIONS AND WARRANTIES IN THESE TERMS, USER’S USE OF THE PRODUCTS, INCLUDING, WITHOUT LIMITATION, ITS USER CONTENT, ANY USE OF THE PRODUCTS OTHER THAN AS EXPRESSLY AUTHORIZED IN THESE TERMS, OR INFRINGEMENT BY USER OF ANY INTELLECTUAL PROPERTY OR ANY OTHER RIGHT OF ANY PERSON OR ENTITY. USER WILL COOPERATE AS FULLY AS REASONABLY REQUIRED IN THE DEFENSE OF ANY CLAIM. PBL4CTE RESERVES THE RIGHT, AT ITS OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY USER, AND USER WILL NOT IN ANY EVENT SETTLE ANY SUCH MATTER WITHOUT PBL4CTE’S WRITTEN CONSENT.

All Products and all intellectual property rights to the Products (collectively, the “PBL4CTE Property”), are owned by or licensed to PBL4CTE and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Except as expressly authorized in writing by PBL4CTE, no PBL4CTE Property may be copied, reproduced, distributed, displayed, published, transmitted, modified, adapted, translated, reverse engineered, sold, licensed, exploited, or otherwise used for any commercial purpose.
LIMITED LICENSE
Subject to these terms, PBL4CTE grants User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Products solely for User’s own personal, informational, instructional and educational purposes.
PERMITTED USES
User may: a) Use the Products in connection with classroom instruction, tutoring, homeschooling, distance learning, hybrid learning, or other educational activities conducted by User; b) Print reasonable copies of Products for use by students currently enrolled in classes taught directly by User; c) Display the Products to students through classroom presentations, learning management systems, secure educational platforms, or similar instructional technologies used by User; and
d) Store copies of the Products on User-owned or school-provided devices solely for purposes authorized by these Terms.
LICENSE RESTRICTIONS
Except as expressly authorized herein, User shall not:
a) Sell, resell, rent, lease, sublicense, distribute, share, transfer, assign, or otherwise make the PBL4CTE Property available to any third party;
b) Upload the PBL4CTE Property to public websites, file-sharing services, social media platforms, online marketplaces, or publicly accessible databases;
c) Provide the PBL4CTE Property to other teachers, schools, districts, organizations, or educational institutions for their independent use;
d) Create derivative works based upon the PBL4CTE Property for commercial distribution;
e) Remove, alter, obscure, or modify any copyright, trademark, attribution, watermark, or proprietary notice contained in the PBL4CTE Property; or
f) Use the PBL4CTE Property for commercial training, professional development programs, publishing, or curriculum-development services without PBL4CTE’s prior written consent.
SCHOOL AND DISTRICT USE
Unless expressly stated otherwise in a separate written agreement, this license is granted solely to the individual User. Purchase by an individual teacher does not authorize use by other teachers, administrators, schools, campuses, departments, districts, or organizations.
Additional users must obtain separate licenses.
DIGITAL SECURITY
User shall use reasonable efforts to prevent unauthorized copying, distribution, or access to the Products, including preservation of any copyright and trademark notices, and shall promptly notify PBL4CTE of any known unauthorized use.
ARTIFICIAL INTELLIGENCE RESTRICTIONS
Without PBL4CTE’s prior written consent, User shall not:
(a) Upload, input, submit, or otherwise provide the PBL4CTE Property to any artificial intelligence, machine learning, large language model, generative AI platform, or similar technology for purposes of training, fine-tuning, development, testing, benchmarking, or model improvement;
(b) Use the PBL4CTE Property to create AI-generated derivative educational products;
(c) Incorporate the PBL4CTE Property into datasets, prompts, embeddings, vector databases, retrieval systems, or machine-learning repositories; or
(d) Permit any third party to use the PBL4CTE Property for artificial intelligence or machine-learning purposes.
TERM AND TERMINATION
This license shall remain in effect unless terminated pursuant to this Agreement. PBL4CTE may immediately terminate this license upon User’s breach of any provision of these terms. Upon termination, User shall cease all use of the PBL4CTE Property and destroy or permanently delete all copies in User’s possession or control.
NO TRANSFER
This license is personal to User and may not be assigned, transferred, delegated, or sublicensed without PBL4CTE’s prior written consent.
RESERVATION OF RIGHTS
All rights not expressly granted to User are reserved by PBL4CTE.
THIRD-PARTY TRADEMARKS
The Products may use third-party trademarks and logos to identify third parties and resources or as examples for educational purposes. PBL4CTE’s use of these marks does not imply affiliation with or endorsement of the third party. These marks are the property of their respective owners.
TRADEMARK NOTICE
PBL4CTE, its logos, slogans, product names, service names, trade dress, and other brand identifiers are valuable intellectual property and may be registered or unregistered trademarks, service marks, or trade names of PBL4CTE (collectively, the “Marks”).
No license or right to use any Marks is granted without the prior written consent of PBL4CTE. Unauthorized use of any Marks, including use in advertising, marketing, domain names, social media accounts, metatags, search engine optimization, sponsored advertisements, keyword advertising, product listings, or other commercial contexts, is strictly prohibited.
Nothing contained in any Products shall be construed as granting any license or right to use any Mark by implication, estoppel, or otherwise.
DIGITAL PRODUCT PROTECTIONS
Any digital products, downloads, software, educational materials, templates, audiovisual content, or electronic resources made available by PBL4CTE are licensed, not sold, unless expressly stated otherwise.
The purchase or acquisition of any digital product does not transfer ownership of any intellectual property rights. Users may not reproduce, distribute, resell, sublicense, share, upload, publish, modify, create derivative works from, or commercially exploit digital products except as expressly authorized by a written license agreement.
ENFORCEMENT OF RIGHTS
PBL4CTE reserves all rights and remedies available under applicable law and equity to protect its intellectual property, proprietary information, and contractual rights, including the right to seek injunctive relief, monetary damages, attorneys’ fees, costs, and any other available remedies.
